Terms of Service

These Terms of Service ("Terms") govern your access to and use of klindera.com and related services (the "Service"), operated by Sahbia Tecnologia e Soluções Inteligentes Inova Simples (I.S.), CNPJ 62.000.236/0001-85, a company registered in Espírito Santo, Brazil ("Klindera," "we," "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Klindera Is — and Isn't

Klindera is an online marketplace that helps Customers find and request quotes from independent local service businesses ("Professionals"), and gives Professionals tools (a public profile, lead routing, a CRM, and optional AI-assisted communication features) to run their business.

Klindera is not a party to any agreement between a Customer and a Professional. We do not perform, supervise, guarantee, warrant, or insure any service booked through the Service. Professionals are independent businesses — not employees, agents, franchisees, or joint venturers of Klindera. Any contract for services (price, scope, timing, quality, warranty) is solely between the Customer and the Professional.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Professional accounts must provide accurate business information and keep it up to date.

3. Requesting and Providing Quotes

Submitting a quote request does not obligate any Professional to respond, nor does it obligate the Customer to hire any Professional who responds. Professionals are solely responsible for the accuracy of their profile, pricing, licensing, and insurance claims, and for complying with all laws and licensing requirements applicable to the services they offer.

4. AI-Assisted Communication

Professionals on eligible plans may enable AI-assisted WhatsApp and phone answering. When enabled, calls and messages to that Professional's number may be answered, recorded, transcribed, and summarized by automated systems. Professionals are responsible for ensuring their use of these features complies with applicable law, including call-recording consent and telemarketing/text-messaging laws (such as the TCPA) in the jurisdictions where their customers are located. Klindera provides the tooling; the Professional is responsible for how it is used.

5. Subscriptions, Billing, and Cancellation

  • Professional plans (Free, Professional, Premium, Business) are billed on a recurring basis through our payment processor, Stripe, per the pricing shown at checkout.
  • Plans that include AI phone/WhatsApp minutes bill overage beyond the included allowance at the rate disclosed at signup.
  • Add-ons (such as a custom domain) are billed as disclosed at the time of purchase, either as a one-time charge or in installments as selected.
  • You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
  • We may change our pricing on notice; continued use after a price change takes effect constitutes acceptance.

6. Reviews and User Content

Reviews must reflect a genuine experience with the Professional and may not be fabricated, incentivized in exchange for a positive rating, or posted by someone without firsthand knowledge of the job. We may remove content that violates these Terms or applicable law. You retain ownership of content you submit (reviews, photos, profile content) but grant Klindera a license to host, display, and use it to operate and promote the Service.

7. Prohibited Conduct

  • Posting false, misleading, or fraudulent information (including fake reviews or fake credentials);
  • Using the Service to spam, harass, or send unsolicited communications;
  • Circumventing our systems (e.g. scraping, reverse-engineering, or bypassing security controls);
  • Using the Service for any unlawful purpose.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KLINDERA DOES NOT WARRANT THAT ANY PROFESSIONAL LISTED ON THE SERVICE IS LICENSED, INSURED, OR QUALIFIED — VERIFICATION BADGES REFLECT ONLY THE SPECIFIC CHECK DESCRIBED (E.G. EMAIL OR PHONE CONFIRMATION), NOT A GUARANTEE OF WORK QUALITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLINDERA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE OR ANY SERVICE PERFORMED BY A PROFESSIONAL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO KLINDERA IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You agree to indemnify and hold Klindera harmless from any claim arising from your use of the Service, your violation of these Terms, or (for Professionals) the services you perform for a Customer.

11. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles, regardless of your location. [Placeholder: add binding arbitration / small-claims-court-carve-out / class-action-waiver language here once the business owner has decided on a dispute-resolution provider and reviewed it with counsel — this matters more than usual here, since Sahbia Tecnologia is a Brazilian company choosing Florida law for a US-facing product, and cross-border enforcement should be checked with an attorney before relying on this clause.]

12. Changes to the Service or These Terms

We may modify the Service or these Terms at any time. We will post the updated Terms with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may stop using the Service and close your account at any time.
